Terms & Conditions.

Effective date: October 1, 2026

Welcome to Netgrow. These Terms & Conditions govern your use of the Netgrow website and, where applicable, the provision of services by Netgrow.

By accessing this website, submitting an enquiry, or engaging Netgrow for services, you acknowledge that you have read and understood these Terms and agree to be bound by them to the extent applicable.

For individual projects, a proposal, quotation, statement of work, service agreement, or other written agreement may contain additional terms. Where such a document has been agreed between Netgrow and a client, its project-specific provisions will govern the relevant engagement. If there is a conflict between these Terms and a signed or expressly accepted project agreement, the project agreement will prevail for that project.

01About Netgrow

Netgrow provides services including website development, web applications, e-commerce development, CMS and content-driven systems, deployment and launch support, domain and hosting management, analytics implementation, maintenance, and digital marketing services.

The specific services provided to a client will depend on the applicable proposal, quotation, or project agreement.

Netgrow reserves the right to determine which services it offers and to modify, discontinue, or introduce services from time to time.

02Enquiries and proposals

A website enquiry or consultation does not create a client relationship or obligation for Netgrow to accept a project.

Project scope, deliverables, timelines, fees, milestones, revisions, technical requirements, ownership arrangements, and other material terms will be agreed separately where appropriate.

Any estimate, quotation, or timeline provided before formal agreement is indicative unless expressly stated otherwise.

Netgrow may decline an enquiry or discontinue discussions where a proposed project is unlawful, impractical, outside its capabilities, presents unacceptable risk, or conflicts with its professional or operational requirements.

03Scope of services

Netgrow will provide the services and deliverables expressly agreed for the relevant project.

Requests outside the agreed scope may require an additional quotation, fee, timeline adjustment, or written approval before work begins.

Examples of additional work may include new features, substantial revisions, additional pages, integrations, content entry, redesigns, migration work, third-party configuration, or requirements introduced after approval.

Netgrow is not responsible for delivering features, integrations, content, or functionality that were not included in the agreed scope.

04Client responsibilities

The client is responsible for providing information, content, approvals, credentials, access, materials, feedback, and other cooperation reasonably required for the project.

The client represents that it has the necessary rights and permissions to provide any text, images, videos, trademarks, logos, data, software, documents, or other materials supplied to Netgrow.

Netgrow may rely on information supplied by the client without independently verifying its accuracy or legal sufficiency.

Where a project is delayed because required information, access, approvals, content, payment, or decisions are not provided in a timely manner, the agreed delivery schedule may be adjusted accordingly.

Netgrow is not responsible for delays or consequences caused by inaccurate, incomplete, unlawful, or late client-supplied materials or instructions.

05Revisions and approvals

Unless otherwise stated in a project agreement, revisions are limited to the scope and revision rounds expressly agreed for the relevant deliverable.

A request that materially changes an approved direction, specification, feature, or deliverable may be treated as additional work.

Once a deliverable has been approved by the client, subsequent changes may be treated as new work and may incur additional fees.

Client approval may be given expressly by email, message, written confirmation, or another agreed communication method.

06Fees and payment

Project fees, payment schedules, deposits, milestones, and due dates are determined by the applicable project agreement or quotation.

Where payment is required to begin or continue a project, Netgrow may suspend work until the required payment has been received.

Unless otherwise agreed, Netgrow is not required to continue work, release final deliverables, transfer administrative access, or complete deployment while material amounts remain unpaid.

Any taxes, government charges, domain registration fees, hosting charges, software licences, advertising expenditure, third-party subscription fees, transaction charges, or other external costs are the client’s responsibility unless expressly included in the agreed project fee.

Netgrow does not operate as a payment processor, bank, financial institution, or payment intermediary for third-party platforms. Payments made directly to external providers are subject to the terms and policies of those providers.

07Timelines and launch

Project timelines are estimates based on the agreed scope and on the timely cooperation of the client and relevant third parties.

Netgrow will make reasonable efforts to meet agreed deadlines but does not guarantee a particular launch date where delays arise from circumstances outside its reasonable control, including delayed approvals, unavailable information, third-party services, hosting providers, domain registrars, payment providers, API providers, regulatory requirements, or technical dependencies.

Launch may be withheld where required approvals, payments, credentials, content, technical requirements, or other agreed prerequisites remain outstanding.

08Domains, hosting and third-party services

Where Netgrow assists with domain registration, hosting, deployment, email, analytics, cloud infrastructure, APIs, plugins, payment systems, advertising platforms, or other third-party services, those services may be subject to separate terms imposed by the relevant provider.

Netgrow does not control third-party providers and cannot guarantee their uninterrupted availability, security, pricing, performance, policies, or continued operation.

Changes, outages, suspensions, account restrictions, pricing changes, API changes, service discontinuation, security incidents, or failures caused by third-party providers are outside Netgrow’s reasonable control.

Where Netgrow manages third-party services on a client’s behalf, the client remains responsible for the underlying account, subscriptions, charges, legal obligations, and business decisions associated with those services unless expressly agreed otherwise.

09Website, software and technical limitations

Websites and software depend on browsers, operating systems, devices, networks, hosting infrastructure, APIs, libraries, third-party services, and other technologies that may change over time.

Netgrow will use reasonable professional care in developing and configuring agreed deliverables, but does not warrant that software will remain compatible with every future browser, device, operating system, third-party platform, or technical environment.

Unless expressly agreed, ongoing monitoring, security updates, content updates, new features, third-party compatibility work, SEO performance, advertising performance, and maintenance after the agreed support period are separate services.

10Digital marketing and performance

Digital marketing services may include SEO, content, paid advertising, conversion optimisation, analytics, or related activities.

Marketing outcomes depend on numerous factors outside Netgrow’s control, including search engines, advertising platforms, competitors, market conditions, budgets, client offers, pricing, content, industry conditions, and changes to third-party algorithms or policies.

Accordingly, Netgrow does not guarantee specific rankings, traffic levels, leads, sales, conversions, advertising returns, revenue, or other commercial outcomes unless a specific written agreement expressly provides otherwise.

Any performance figures, examples, case studies, or projections published by Netgrow are illustrative or historical and do not constitute a guarantee of future performance.

11Client content and legality

The client remains responsible for the legality, accuracy, completeness, and appropriateness of its business operations and the content, products, services, claims, offers, and materials presented through its website or marketing campaigns.

Netgrow does not provide legal, tax, financial, medical, regulatory, or other professional advice merely by developing or marketing a website.

The client must not instruct Netgrow to create, publish, distribute, or promote material that violates applicable law or the rights of another person.

Netgrow may refuse or suspend work that it reasonably believes may involve unlawful, infringing, fraudulent, deceptive, abusive, or otherwise prohibited activity.

12Intellectual property

Unless otherwise agreed in writing, the client retains ownership of materials supplied by the client.

Subject to full payment of all applicable fees, ownership or licence rights in the specifically commissioned final deliverables will transfer to the client to the extent stated in the applicable project agreement.

Netgrow retains ownership of its pre-existing materials and reusable intellectual property, including frameworks, libraries, reusable components, templates, development methods, utilities, internal tools, know-how, processes, and general technical expertise, unless expressly transferred in writing.

Third-party software, fonts, libraries, APIs, plugins, images, services, and other third-party materials remain subject to their respective licences and terms.

Netgrow is not responsible for transferring ownership rights that it does not itself own.

13Portfolio and promotional use

Unless otherwise agreed in writing, Netgrow may identify completed work and display publicly available portions of the completed project in its portfolio, website, proposals, social media, presentations, or other promotional materials.

A client may request confidential treatment or restrictions on promotional use by written agreement.

Netgrow will not knowingly disclose confidential information solely for promotional purposes.

14Confidentiality

Each party should take reasonable care to protect confidential information received from the other party.

Confidential information does not include information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law or lawful authority.

Where a project requires a more detailed confidentiality obligation, the parties may enter into a separate confidentiality or non-disclosure agreement.

15Security and backups

Netgrow will apply reasonable technical and organisational measures appropriate to the services it has agreed to provide.

However, no internet-connected system, hosting environment, software application, account, or transmission method can be guaranteed to be completely secure.

Unless expressly included in the project agreement, Netgrow does not guarantee the availability of independent backups or disaster recovery systems.

Clients remain responsible for maintaining appropriate copies of business-critical information where they control or have access to that information.

16Suspension and termination

Netgrow may suspend services where the client fails to provide required cooperation, materially breaches an agreement, fails to make required payments, requests unlawful activity, or creates a material security, legal, or operational risk.

Where a project is terminated, the rights of each party will be determined by the applicable project agreement and applicable law.

Work already completed, committed third-party costs, approved deliverables, and other amounts properly due up to the termination date may remain payable.

17No guarantee; disclaimers

The Netgrow website and its general informational content are provided on an “as available” basis.

To the maximum extent permitted by applicable law, Netgrow makes no warranties that the website will always be available, uninterrupted, error-free, or completely secure, or that its content will always be complete, accurate, or current.

Nothing in these Terms excludes any right, warranty, or liability that cannot lawfully be excluded or limited.

18Limitation of liability

To the maximum extent permitted by applicable law, Netgrow will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, data, or business interruption arising from or connected with the website or services.

Where liability cannot lawfully be excluded, Netgrow’s aggregate liability arising from a particular project or service will, to the maximum extent permitted by applicable law, be limited to the amount actually paid to Netgrow for the affected services during the six months immediately preceding the event giving rise to the claim.

This limitation does not apply to liabilities that cannot legally be limited or excluded.

19Client indemnity

To the maximum extent permitted by applicable law, the client agrees to indemnify and hold Netgrow harmless from third-party claims, losses, liabilities, reasonable costs, or expenses arising from:

(a) materials or instructions supplied by the client;

(b) the client’s products, services, business activities, claims, or representations;

(c) the client’s violation of applicable law or third-party rights; or

(d) the client’s misuse of the deliverables.

This obligation applies only to matters attributable to the client and does not transfer responsibility to the client for Netgrow’s own unlawful conduct or obligations that cannot legally be transferred.

20Events outside reasonable control

Netgrow will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, telecommunications failures, power failures, cyber incidents, widespread internet disruption, major hosting or cloud failures, third-party service outages, or other events that could not reasonably have been prevented.

Where reasonably possible, Netgrow will communicate material disruptions and resume affected services when practicable.

21Changes to these Terms

Netgrow may update these Terms from time to time to reflect changes to its services, legal requirements, technology, or business operations.

The current version published on this website will apply to future website use.

Changes to an existing client engagement will not automatically override a previously agreed project agreement unless the parties expressly agree otherwise.

22Governing law and disputes

These Terms shall be governed by and interpreted in accordance with the laws of Bangladesh, subject to any mandatory rights or provisions that cannot lawfully be excluded.

The parties should first attempt in good faith to resolve any dispute through direct discussion.

Where a dispute cannot be resolved amicably, it may be referred to the courts or other dispute-resolution mechanism having lawful jurisdiction in Bangladesh, subject to the terms of any applicable project agreement.

23Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified or disregarded only to the extent necessary, and the remaining provisions will continue to the extent permitted by law.
